      Содержание

1. Ознакомление  с оригинальным текстом на английском языке

     Drilling Operation and Maintenance Contract

     Joint Stock Company “Sakhalin East” (hereinafter referred to as Company) and Limited Liability Company “Offshore Drilling” (hereinafter referred to as Contractor) desire to conclude the Contract for operations and maintenance by Contractor of a certain drilling rig in connection with Company’s oil and gas operations in Sakhalin Island.

     Article 1 – Subject of the Contract

     1.1. Contractor shall participate in installation, start up equipment and drill the wells specified by Company. Contractor shall operate and maintain drilling equipment and systems on the Orlan Drilling Rig.

     Article 2 – Scope of Work

     2.1. Contractor shall furnish the supervisory, technical and Drilling Rig crew personnel with required skills to perform Drilling Rig operations, repairs, maintenance, and training in support of Company’s petroleum exploration and producing operations in accordance with the terms of the Contract. Contractor is responsible for management of operation and maintenance  of the Drilling Rig, and for providing the required logistics, warehousing, maintenance, and support Activities allowing the Drilling Rig to be operated in accordance with applicable law and good oilfield practices.

     2.2.  Contractor has listed the persons who will have supervisory authority over the Work and with whom Company’s representatives may coordinate the performance of Work. Contractor’s representative will be responsible for Work and is empowered to act for Contractor in all everyday operational matters relating to Contractor’s performance of Work. Notices concerning operations, which are transmitted to Contractor through its designated representatives, shall be deemed to have been sufficiently given for purposes of this Contract.

     2.3. Contractor shall operate and perform Work in accordance with given operational instructions and in strict conformity with Health, Safety, Environmental, Quality System and all applicable Laws, standards, specifications, regulations, codes and procedures applicable to Work.

     2.4. Contractor represents and warrants that Contract Equipment provided by Contractor is properly designated and constructed for the Work and is fully operational  and capable of performing in accordance with its specifications.

     2.5. Contractor shall transport at own risk any spare or repair parts or other Contract Equipment in a commercially reasonable manner under the circumstances.

     2.6. Contractor shall load aboard and install or assist in installing Third Party and Company Equipment at suitable locations. The installation work shall be performed, or caused to be performed, by Contractor in a manner satisfactory to Company or the respective Third party in accordance with the engineering plans and specifications supplied by Company or the Third Party.

     Article 3 – Term of the Contract.

     3.1. This Contract shall be effective as of the date Company signs this Contract and shall be valid thereafter for 5 years.

     Article 4– Termination and Suspension

     4.1. Company has the right at any time and without cause to terminate this Contract or any part of Work by giving 15 days notice to Contractor. 

     4.2.  If Company terminates this Contract or any part of the Work according to this sub-article, Company shall pay to Contractor the unpaid balance due to Contractor for Work completed, that comprises the costs of materials and subcontracted services reasonably and properly ordered by Contractor .

     Article 5 - Acceptance of the Contract

     In witness whereof, the parties hereto have signed this Contract in duplicate originals.

     II. Перевод оригинального текста на английском языке на русский язык

      Договор на бурение и материально-техническое  обслуживание

      Акционерное общество «Сахалин Ист» (именуемое в дальнейшем Компания), и Общество с ограниченной ответственностью «Офшоре Дриллинг», именуемое в дальнейшем Подрядчик, желают заключить договор на выполнение работ и техническое обслуживание Подрядчиком конкретной буровой платформы, в связи с  работами в области нефте- и газодобычи, выполняемыми Компанией на острове Сахалин.

      Статья 1 Предмет контракта

   1.1. Подрядчик принимает участие в операциях монтажа и пуска оборудования, в бурении скважин, указанных Компанией. Подрядчик эксплуатирует и обслуживает буровое оборудование и системы на Буровой установке Орлан.

      Статья  2 Объем работ

   2.1. Подрядчик предоставляет руководящий и технический персонал, а также персонал бригад Буровой установки, обладающий навыками, необходимыми для выполнения работ на Буровой установке, ремонта и технического обслуживания Буровой установки, а также обучения – для оказания Компании поддержки в части нефтеразведки и нефтедобычи на Рабочей площадке в соответствии с условиями настоящего договора. Подрядчик отвечает за руководство работами и техническое обслуживание Буровой установки, а также за осуществление необходимых поставок, складирования, технического обслуживания, и вспомогательных операций  по обеспечению эксплуатации Буровой установки в соответствии с применимым законодательном и передовой практикой нефтедобычи.

   2.2. Подрядчик перечислил лиц, которые будут иметь право руководства работой, с которыми представители Компании могут координировать выполнение работы. Представитель подрядчика  будет нести непосредственную ответственность  за выполнение Работы и уполномочен действовать от имени Подрядчика в отношении всех повседневных рабочих вопросов, касающихся выполнения работы Подрядчиком. Уведомления относительно выполнения работ, переданные подрядчику через назначенных представителей, должны, для целей настоящего договора, считаться переданными.

   2.3. Подрядчик должен эксплуатировать оборудование и выполнять работу в соответствии с предоставленными инструкциями по выполнению работ и в строгом соответствии с системой обеспечения охраны труда, техники безопасности, Защиты окружающей среды и Обеспечения качества Компании и всеми применимыми законами, стандартами, техническими требованиями, инструкциями, нормами, а также методиками, применимыми в работе.

   2.4. Подрядчик заявляет и гарантирует,  что Оборудование, поставляемое  по Договору, должным образом  разработано и построено для Работы, находится полностью в рабочем состоянии и работоспособно в соответствии с его техническими характеристиками.

   2.5. Подрядчик транспортирует на  собственный риск все запасные  или сменные части или другое  оборудование, поставляемое по договору, коммерчески разумным способом в каждом отдельном случае.

   2.6. Подрядчик принимает на борт  и устанавливает или оказывает  содействие в монтаже оборудования  Третьих сторон и Компании  в соответствующих отведенных  местах. Монтажные работы должны  быть выполнены, или их выполнение должно быть обеспечено Подрядчиком способом, приемлемым для Компании или соответствующей третьей стороны согласно техническим схемам и техническим требованиям, предоставленным Компанией или Третьей стороной.

   Статья  3 - Срок действия Договора

   3.1. Настоящий договор вступает в  силу с даты, когда Компания  подписывает настоящий Договор   и остается в силе в течение  5 лет.

   Статья 4 – Расторжение и Приостановка действия Договора

   3.1. Компания имеет право в любое  время и без объяснения причины  расторгнуть настоящий  Договор или прекратить любую часть Работы, предварительно уведомив Подрядчика за 15 дней.

   4.2. Если Компания расторгает настоящий  Договор или прекращает любую  часть работы согласно данному  пункту, Компания обязана уплатить  Подрядчику неоплаченную сумму за выполненную часть работы, включая затраты на материалы и услуги, по которым был заключен подрядный Договор, справедливо и должным образом рассчитанную Подрядчиком.

      Статья 5 – Одобрение контракта

   В подтверждение чего стороны подписали настоящий Договор в двух экземплярах
